Terms of Service
Please read these terms carefully before using TQSign. By creating an account or signing a document, you agree to these terms.
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of TQSign, an electronic signature platform operated by TQ Consult Ltd, registered in England and Wales (“TQSign”, “we”, “us”, “our”).
By registering for an account or accessing the service as a signer, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.
2. Description of Service
TQSign provides a web-based platform that allows account holders (“Administrators”) to:
- Upload documents and prepare them for electronic signature.
- Invite one or more signers via email or secure link.
- Collect electronic signatures and initials from signers.
- Download completed, signed documents with an appended Certificate of Completion and audit trail.
Signers access the service via a unique, time-limited link and are not required to create an account.
3. Account Registration
To use TQSign as an Administrator, you must register with a valid email address and create a password. You are responsible for:
- Keeping your login credentials confidential.
- All activity that occurs under your account.
- Notifying us immediately at hello@tqconsult.co.uk if you suspect unauthorised access.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or any organisation you represent.
4. Acceptable Use
You agree not to use TQSign to:
- Upload or distribute documents that are fraudulent, defamatory, unlawful, or infringe third-party intellectual property rights.
- Collect signatures under duress or without the signer's informed consent.
- Attempt to forge or tamper with documents, signatures, or audit trails.
- Reverse-engineer, decompile, or attempt to extract source code from the platform.
- Introduce viruses, malware, or any code designed to disrupt the service.
- Use the service for spam or unsolicited communications.
- Exceed any applicable rate limits or attempt to overload the platform's infrastructure.
5. Electronic Signatures — Legal Status
Electronic signatures captured through TQSign constitute Simple Electronic Signatures under the UK Electronic Communications Act 2000 (ECA 2000) and the retained UK eIDAS Regulation. They are legally binding in the United Kingdom and, in most cases, across the European Union and other jurisdictions that recognise electronic signatures.
It is your responsibility as the Administrator to ensure that electronic signatures are legally sufficient for the specific document type and jurisdiction involved. Certain document types — including wills, property transfers, and some regulated financial agreements — may require a higher level of electronic signature (Advanced or Qualified) or a wet ink signature. TQSign provides Simple Electronic Signatures only. We are not legal advisers and do not warrant the enforceability of any specific document or signature.
6. Document Ownership and Content
You retain all ownership rights to the documents you upload to TQSign. By uploading a document, you grant TQSign a limited, non-exclusive licence to store, process, and display that document solely for the purpose of delivering the signing service to you.
You represent and warrant that:
- You have the right to upload and share the document with the designated signers.
- The document does not violate any applicable law or third-party rights.
- You have obtained any necessary consents to share signers' personal data (name, email) with TQSign.
7. Data and Privacy
Your use of TQSign is subject to our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with UK GDPR.
8. Availability and Service Levels
We aim to maintain a high level of platform availability, but we do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or events beyond our control. We will endeavour to notify users in advance of planned maintenance windows.
TQSign is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the fullest extent permitted by applicable law, TQ Consult Ltd shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Any damages arising from your reliance on the legal enforceability of a document signed via TQSign.
- Unauthorised access to your account arising from your failure to maintain credential security.
Our total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of TQSign shall not exceed the fees paid by you to TQSign in the twelve months preceding the claim, or £100 (whichever is greater).
10. Termination
You may close your account at any time by contacting us at hello@tqconsult.co.uk. We reserve the right to suspend or terminate your account without notice if you breach these Terms, engage in fraudulent activity, or create a legal or technical risk for TQSign or other users.
Upon termination, your right to access the service ceases immediately. We will delete your account data in accordance with our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. We will notify account holders of material changes by email at least 14 days before the changes take effect. Continued use of TQSign after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
